Welcome to mmasi.co.za. These Terms & Conditions (“Terms”) govern your use of this website and your relationship with MMASIKHIRIKHIRI Trading Enterprise (Pty) Ltd, trading as MMASI (“MMASI”, “we”, “us”, “our”), including any purchase, quotation, order, or service engagement made through this site or through direct communication with us.

By accessing this website, requesting a quote, placing an order, or engaging MMASI for services, you agree to be bound by these Terms. If you do not agree, please do not use this website or engage our services.

2. Definitions

  • “Client”, “you”, “your” — any person or entity using this website, requesting a quotation, placing an order, or engaging MMASI’s services.
  • “Goods” — physical products supplied by MMASI, including PPE, safety footwear, workwear, corporate attire, and battery/energy storage hardware.
  • “Services” — non-physical deliverables including energy assessments, BESS design and installation support, sustainability consulting, cost modelling, and related advisory work.
  • “Quotation” — a formal price and scope estimate issued by MMASI in response to a request for quote (RFQ) or enquiry.
  • “Order” — a confirmed purchase of Goods, whether placed via the website’s shopping cart/checkout or confirmed in writing following a Quotation.

3. Use of This Website

You may use this website for lawful purposes only. By using this site, you agree not to:

  • Use the website in any way that breaches applicable South African law, including the Electronic Communications and Transactions Act 25 of 2002 (ECTA);
  • Attempt to gain unauthorised access to any part of the website, its servers, or any database connected to it;
  • Use automated tools (bots, scrapers) to extract content, pricing, or product data without our prior written consent;
  • Upload or transmit any material that is unlawful, defamatory, or infringes on the rights of any third party.

We reserve the right to restrict or terminate access to this website, or any account registered on it, at our discretion, where we reasonably believe these Terms have been breached.

4. Quotations, RFQs & Pricing

Most bulk-supply, PPE, workwear, and BESS/consulting engagements begin with a Request for Quote (RFQ) via the Contact page, the “Book an Energy Assessment” form, email, or phone.

  • Quotation validity. Unless stated otherwise on the quotation document, quotations are valid for 30 days from the date of issue. Pricing may be subject to change after this period due to supplier cost fluctuations, exchange rate movements, or freight cost changes.
  • Accuracy of information. Quotations for bulk PPE, workwear, and safety footwear are based on the information provided by the Client (site headcount, sizing breakdown, delivery location, roll-out timeline). MMASI is not liable for quotation inaccuracies arising from incomplete or incorrect information supplied by the Client.
  • BESS and consulting quotations. Quotations for battery energy storage systems, installations, and consulting engagements are indicative and based on preliminary information (e.g. site load profile, desk-based assessment) unless a formal site assessment has been conducted. Final scope and pricing may be adjusted following an on-site assessment, and any such adjustment will be communicated to the Client for approval before work proceeds.
  • Currency and VAT. All prices are quoted in South African Rand (ZAR) and are exclusive of VAT unless stated otherwise.

5. Orders & the Online Store

Where products are purchased directly through the website’s online store and checkout:

  • Adding an item to your cart does not reserve stock or guarantee availability.
  • An order is only accepted once MMASI has confirmed it in writing (including automated order confirmation emails) and, where applicable, payment has been received or approved credit terms apply.
  • MMASI reserves the right to decline or cancel any order, including after confirmation, in cases of pricing errors, stock unavailability, or suspected fraudulent activity — in which case any payment received will be refunded in full.
  • For bulk or recurring supply relationships, orders may instead be confirmed via written purchase order against an agreed Quotation, in which case the terms of that Quotation and any signed supply agreement take precedence over this section.

6. Service Engagements (BESS, Installation & Consulting)

The following applies specifically to energy assessments, battery energy storage system design and installation support, and sustainability/business consulting services:

  • Site assessments. Where a physical site visit is required, access, safety compliance, and any site-specific permissions are the Client’s responsibility, and MMASI’s personnel will comply with the Client’s applicable site safety requirements.
  • Recommendations, not guarantees. Energy cost savings, payback periods, load reduction outcomes, and sustainability projections provided by MMASI are professional estimates based on the data available at the time of assessment. They are not guarantees of performance, and actual results may vary based on factors outside MMASI’s control (utility tariff changes, equipment usage patterns, grid conditions, and third-party maintenance).
  • Third-party equipment and installers. Where MMASI engages accredited third-party installers, electricians, or equipment manufacturers on the Client’s behalf, MMASI will disclose this and remains the Client’s primary point of contact for the engagement, subject to the manufacturer’s own warranty terms applying to hardware.
  • Scope changes. Any change to agreed scope, timeline, or specification after a Quotation has been accepted must be confirmed in writing and may result in adjusted pricing and timelines.

7. Delivery

  • Delivery timelines provided at quotation or order confirmation stage are estimates and not guaranteed delivery dates, unless expressly agreed in writing.
  • MMASI primarily services Gauteng and Mpumalanga; delivery outside these regions may be subject to additional cost and extended lead times, to be confirmed at quotation stage.
  • Risk in Goods passes to the Client on delivery to the address specified in the Order. The Client is responsible for ensuring an authorised person is available to receive delivery.
  • Delays caused by courier or freight partners, customs (for imported components), or circumstances beyond MMASI’s reasonable control do not constitute a breach of these Terms (see Section 13, Force Majeure).

8. Returns, Exchanges & Warranties

  • PPE, workwear, and footwear. Items may be returned within [X] days of delivery if unused, unworn, in original packaging, and accompanied by proof of purchase, subject to the Consumer Protection Act 68 of 2008 where it applies to the transaction. Items supplied against a specific bulk order for a Client’s branding, custom sizing run, or embroidery are non-returnable unless faulty.
  • Faulty goods. Goods found to be defective on delivery, or that fail due to a manufacturing defect within the applicable warranty period, will be repaired, replaced, or refunded at MMASI’s discretion, in line with statutory warranty obligations.
  • BESS hardware. Battery and energy storage equipment is covered by the original manufacturer’s warranty, the terms of which will be provided at the point of Quotation or delivery. MMASI will assist in facilitating any manufacturer warranty claim.
  • To initiate a return or warranty claim, contact info@mmasi.co.za with your order reference and a description of the issue.

9. Limitation of Liability

To the maximum extent permitted by South African law:

  • MMASI’s total liability arising from any Order or Service engagement is limited to the value of that specific Order or engagement.
  • MMASI is not liable for any indirect, incidental, or consequential loss, including loss of profit, loss of production time, or downtime costs, arising from the supply of Goods or Services, except where such loss arises from MMASI’s gross negligence or wilful misconduct.
  • Nothing in these Terms limits any liability that cannot lawfully be excluded or limited under South African law, including under the Consumer Protection Act 68 of 2008 where applicable.

10. Indemnity

The Client agrees to indemnify MMASI against any claim, loss, or damage arising from the Client’s misuse of Goods supplied (including PPE used outside its intended safety application), failure to follow supplied product or equipment guidance, or breach of these Terms — except where such claim, loss, or damage arises from MMASI’s own negligence.

11. Confidentiality

Where MMASI is provided with commercially sensitive information in the course of a consulting engagement or site assessment (e.g. energy usage data, operational data, internal cost information), MMASI will treat that information as confidential and will not disclose it to third parties other than as necessary to deliver the engagement, or as required by law.

12. Intellectual Property

All content on this website — including text, images, logos, product descriptions, and site design — is the property of MMASI or its licensors and is protected by South African copyright and trademark law. You may not reproduce, distribute, or use this content for commercial purposes without MMASI’s prior written consent.

13. Force Majeure

MMASI will not be held liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to load shedding, natural disaster, strike action, supplier failure, or government-imposed restrictions.

14. Privacy

Your use of this website and any personal information you provide to us is also governed by our Privacy Policy, which explains how we collect, use, and protect your information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA).

15. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from these Terms or your relationship with MMASI will be subject to the jurisdiction of the South African courts, without prejudice to either party’s right to pursue alternative dispute resolution by agreement.

16. Changes to These Terms

MMASI may update these Terms from time to time to reflect changes in our services, pricing structures, or legal requirements. The updated version will be posted on this page with a revised “Last updated” date. Continued use of the website or engagement of our services after changes are posted constitutes acceptance of the updated Terms.
